Allgemeine Geschäftsbedingungen (AGB) — Last updated: March 2026
1.1 These Terms of Service ("Terms") govern your use of the RUNSPEC platform ("Service", "Platform"), operated by RESERVOIR GmbH, Ingenieurbuero, Hofweg 22, 22085 Hamburg, Deutschland, Geschäftsführer: Klaas Kostro, Amtsgericht Hamburg HRB 115128 ("we", "us", "Provider").
1.2 "User", "you" refers to any natural or legal person who registers for and/or uses the Service.
1.3 By creating an account or using the Service, you accept these Terms in their entirety. If you do not agree, do not use the Service.
1.4 These Terms apply exclusively. Conflicting terms of the User are rejected unless expressly agreed in writing.
2.1 RUNSPEC is a browser-based Software-as-a-Service (SaaS) platform for conceptual dynamic subsurface reservoir simulation. The Service includes:
2.2 The Service is provided "as is". Simulation results are for engineering reference purposes. The User is solely responsible for verifying and validating all results before using them in any operational, investment, or regulatory context.
3.1 Use of the Service requires registration with a valid e-mail address and password. You must provide accurate information.
3.2 You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorized use of your account.
3.3 One account per person. Sharing accounts is not permitted.
3.4 We reserve the right to refuse registration or suspend accounts at our discretion, particularly in cases of misuse, fraud, or violation of these Terms.

4.2 The Explorer plan is free of charge and provides basic access with resource limitations as specified above.
4.3 Paid plans (Junior, Senior) are billed on a subscription basis. Pricing is published on the RUNSPEC website and may be updated with 30 days' notice.
4.4 All prices are quoted in EUR. As a Kleinunternehmer pursuant to § 19 UStG, no VAT (Umsatzsteuer) is charged.
4.5 Paid subscriptions are billed monthly or annually, depending on the billing cycle chosen at purchase. Payment is due at the beginning of each billing period.
4.6 We reserve the right to modify plan features and resource limits. Existing subscribers will be notified at least 30 days before any changes take effect for their plan.
5.1 Payment is processed through our third-party payment provider. By subscribing to a paid plan, you authorize recurring charges according to your chosen billing cycle.
5.2 If a payment fails, we will notify you and provide a grace period of 7 days. If payment is not received within the grace period, your account will be downgraded to the Explorer (Free) plan. Your data will be retained for 30 days before being scheduled for deletion.
5.3 Invoices are provided electronically and are available in your account settings.
6.1 You may cancel your paid subscription at any time through your account settings. The cancellation takes effect at the end of the current billing period. You retain access to paid features until that date.
6.2 After cancellation, your account reverts to the Explorer (Free) plan. Projects exceeding the Explorer limits will become read-only.
6.3 Refunds are not provided for partial billing periods. Consumers within the EU may exercise their statutory right of withdrawal within 14 days of purchase (Widerrufsrecht), provided they have not substantially used the Service during that period.
6.4 Enterprise plans may have custom cancellation terms agreed in a separate contract.
7.1 You agree to use the Service only for lawful purposes related to reservoir engineering and subsurface simulation.

8.1 Your data belongs to you. All reservoir models, simulation decks, production data, and results that you create or upload remain your intellectual property.
8.2 You grant us a limited, non-exclusive license to store, process, and transmit your data solely for the purpose of providing the Service.
8.3 We do not claim ownership of your simulation data and will not share, sell, or use it for any purpose other than providing the Service, unless required by law.
8.4 The RUNSPEC platform, including its design, code, algorithms, documentation, and trademarks, is the intellectual property of RESERVOIR GmbH and is protected by German and international copyright law.
8.5 OPM Flow is open-source software distributed under the GNU General Public License. RUNSPEC's use of OPM Flow does not affect its open-source licensing.
9.1 The OGAI assistant generates simulation keywords and engineering suggestions using a large language model (Anthropic Claude). AI-generated content is provided as engineering guidance and must be reviewed by a qualified professional before use.
9.2 We do not guarantee the accuracy, completeness, or correctness of AI-generated content. The User is solely responsible for validating all AI-generated simulation parameters.
9.3 AI prompts are processed via the Anthropic API under their commercial terms. Prompts sent through the RUNSPEC API are not used to train AI models.
10.1 We strive to maintain 99.5% uptime for the Service but do not guarantee uninterrupted availability.
10.2 Scheduled maintenance windows will be announced at least 24 hours in advance when possible.
10.3 We are not liable for downtime caused by force majeure, internet outages, or third-party infrastructure failures.
11.1 We are liable without limitation for damages caused by intent or gross negligence.
11.2 For slight negligence, we are only liable in the event of a breach of essential contractual obligations (Kardinalpflichten). In such cases, liability is limited to the typically foreseeable damage.
11.3 Simulation results are not guaranteed. RUNSPEC is a modelling and estimation tool. We are not liable for decisions made based on simulation results, including but not limited to investment decisions, regulatory submissions, well placement, or production forecasts.
11.4 Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you during the 12 months preceding the claim.
11.5 The above limitations do not apply to liability for injury to life, body, or health, or under the German Product Liability Act (Produkthaftungsgesetz).
12.1 The Service is provided "as is" and "as available". We make no warranties, express or implied, regarding the fitness of the Service for a particular purpose, accuracy of simulation results, or non-infringement.
12.2 We do not warrant that OPM Flow simulation results will match results from commercial simulators (e.g., Eclipse, CMG, tNavigator) for any specific model.
13.1 You may delete your account at any time via account settings or by contacting us.
13.2 We may terminate or suspend your account with 30 days' notice for any reason, or immediately in case of material breach of these Terms.
13.3 Upon termination, we will provide a 30-day data export window during which you can download your project data. After this period, your data will be permanently deleted.
13.4 Sections 8 (Data Ownership), 11 (Liability), 12 (Warranty), and 15 (Governing Law) survive termination.
14.1 We may update these Terms from time to time. Material changes will be communicated via e-mail at least 30 days before taking effect.
14.2 Continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
15.1 These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
15.2 For commercial users (Unternehmer), the exclusive place of jurisdiction is Hamburg, Germany.
15.3 For consumers, the statutory places of jurisdiction apply.
